Customer Agreement

This Agreement ("Agreement") is between SecureAZ Limited ("we", "us", or "SecureAZ"), a New Zealand-registered company, and you, the customer ("you" or "your"). It governs your access to and use of our cybersecurity awareness platform and services.

By accessing our services, including through our portal at app.secureaz.com, you agree to the terms of this Agreement.

1. Our Services

SecureAZ provides:

  • Phishing simulations to test employee awareness
  • Cybersecurity awareness training modules
  • Reporting and analytics to help track staff engagement and risk reduction

You'll receive access to our platform via the SecureAZ Portal at app.secureaz.com.

2. Account Access & Portal Use

To protect the integrity and security of our services:

  • You are responsible for managing access to your SecureAZ account
  • Keep login credentials secure and limit access to authorised users only
  • You must prevent any unauthorised use, sharing, or distribution of content from our platform
  • We reserve the right to suspend access immediately if we detect misuse, abuse, or breach of this Agreement

3. Subscription Terms & Billing

  • All subscriptions are billed annually in advance, as detailed in your invoice
  • Subscriptions automatically renew each year unless you notify us in writing at least 30 days before the renewal date
  • Payment is due within 14 days of invoice
  • Late payments may result in suspension of services

4. Your Responsibilities

You agree to:

  • Provide accurate company and billing information
  • Ensure your staff comply with acceptable use and data handling standards
  • Not use our platform for any unlawful, harmful, or misleading purposes
  • Ensure that all users within your organisation can successfully access the SecureAZ portal and reach phishing simulation landing pages hosted by SecureAZ
  • Receive email communications and phishing simulation emails (e.g., by whitelisting our sending domains/IPs and ensuring firewall, email gateway, or spam filter settings do not block delivery)

You acknowledge that SecureAZ is not responsible for issues arising from your internal systems, email configurations, or user access limitations.

5. Data, Privacy & Confidentiality

  • We process your data in accordance with the New Zealand Privacy Act 2020
  • We collect training and simulation data to deliver and improve the service
  • Confidentiality: Each party agrees to protect all non-public, confidential information exchanged (such as business strategies, technical information, and pricing) and to not disclose it to third parties, except as required by law

6. Termination and Cancellation

  • You may cancel your subscription by providing written notice
  • Access will remain active until the end of your current annual term — no refunds are provided for unused months
  • We may terminate this Agreement for breach of terms or non-payment, with notice
  • On termination, your access to the SecureAZ portal will be revoked

7. Service Availability

  • We aim for high availability but do not guarantee uninterrupted access
  • Platform updates may result in brief downtime, which we'll aim to schedule outside NZ business hours

8. Intellectual Property

  • All rights, title, and interest in and to the SecureAZ platform, software, training content, phishing templates, and all associated intellectual property remain the exclusive property of SecureAZ Limited
  • You are granted a non-exclusive, non-transferable, limited licence to access and use the services during the term of your subscription, strictly in accordance with this Agreement
  • This licence does not grant ownership or the right to copy, resell, or distribute any part of the platform or content

9. Limitation of Liability & Disclaimers

To the maximum extent permitted by law:

  • Our total liability to you shall not exceed the total fees paid by you in the three (3) months immediately preceding the event giving rise to the claim
  • We are not liable for any indirect, consequential, special, or punitive damages, including loss of profits, data, goodwill, or business interruption
  • The platform is provided on an "as is" basis — we make no warranties that the service will meet every specific compliance, insurance, or regulatory requirement
  • You are responsible for verifying with your insurer, regulator, or legal advisors whether SecureAZ's services satisfy your particular obligations

10. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and SecureAZ and supersedes all prior discussions, negotiations, representations, or agreements, whether written or oral, relating to the subject matter.
